License   Agreement for Creative Artist Portfolio

This License Agreement ("Agreement") is entered into as of [Date] ("Effective Date"), by and between:

  1. Artist: [Artist Name], having an address at [Artist Address].

  2. Licensee: [Licensee Name], having an address at [Licensee Address].

WHEREAS, the Artist owns the rights to certain creative works, including but not limited to illustrations, paintings, sketches, digital artworks, designs, photographs, and other forms of creative expressions (collectively, the "Portfolio"); and

WHEREAS, the Licensee desires to use certain elements of the Portfolio for [Specify Purpose, e.g., exhibition, marketing, promotional activities, commercial products], subject to the terms and conditions outlined in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Grant of License

  1. The Artist hereby grants the Licensee a [non-exclusive/exclusive], [non-transferable] license to use the Portfolio, including the artworks and creative content specifically listed in Schedule A, solely for the purpose of [Specify Purpose] and in accordance with the terms of this Agreement.

  2. The License is granted for a period of [Duration, e.g., 1 year] from the Effective Date unless otherwise terminated in accordance with this Agreement.

Scope of Use

  1. The Licensee may use the Portfolio for the following purposes:

    1. [Describe Use, e.g., display on websites, social media, marketing collateral, etc.].

    2. [Any other permitted uses].

  2. The Licensee shall not:

    1. Modify, alter, or create derivative works based on the Portfolio without prior written consent from the Artist.

    2. Use the Portfolio for any unlawful, defamatory, or objectionable purposes.

    3. Sell, sublicense, distribute, or otherwise commercially exploit the Portfolio beyond the scope specified in this Agreement.

Ownership and Copyright

  1. The Artist retains all ownership, copyright, and other intellectual property rights in and to the Portfolio.

  2. The Licensee acknowledges that this Agreement does not grant any ownership rights to the Portfolio, but only the limited rights expressly provided in this Agreement.

Fees and Payment

  1. The Licensee agrees to pay the Artist a licensing fee of [Amount] for the use of the Portfolio as specified herein.

  2. Payment shall be made within [Number of Days, e.g., 30 days] from the Effective Date of this Agreement.

Termination

  1. Either party may terminate this Agreement upon [Number of Days, e.g., 30 days] written notice if the other party is in material breach of any term of this Agreement and fails to cure such breach within the notice period.

  2. Upon termination, the Licensee shall immediately cease using the Portfolio and destroy or return all copies of the Portfolio in its possession.

Indemnification

  1. The Licensee agrees to indemnify and hold harmless the Artist from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to the Licensee's use of the Portfolio in breach of this Agreement.

Governing Law

  1. This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.

Entire Agreement

  1. This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

Amendments

  1. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.

Attribution

  1. The Licensee shall provide appropriate credit to the Artist in any use of the Portfolio, as follows:

    1. "Artwork by [Artist Name]" or another mutually agreed-upon form of attribution.

  2. The credit shall be in a visible and legible format, and should appear wherever the Portfolio is used, including digital and printed media.
